1. Acceptance of Terms

These Terms and Conditions ("Terms") form a binding agreement between you ("User," "you") and Deltou Tech Ltd. d/b/a LeadNest ("LeadNest," "we," "us," "our") for your use of our email warmup tool and related services (the "Services"). By registering or using the Services, you agree to these Terms and our Privacy Policy.

2. Eligibility

You must be at least 18 years old and legally capable of entering contracts. You agree to provide accurate registration information and keep it updated. You are responsible for all activity under your account credentials.

3. Services Description

LeadNest provides an email warmup tool that simulates human-like email interactions to improve sender reputation and deliverability. Services include automated warmup sequences, email sending limits, analytics, and subscription-based access.

4. User Responsibilities

  • Use Services only for lawful purposes and comply with anti-spam laws (CAN-SPAM, GDPR, CASL).
  • Obtain explicit consent before adding email addresses to warmup pools.
  • Do not send spam, phishing emails, or prohibited content (malware, illegal offers).
  • Honor all unsubscribe requests immediately with clear opt-out mechanisms.
  • Ensure compliance with your email provider's terms (Gmail, Outlook, etc.).

5. Account and Payments

Accounts are subscription-based via Stripe. You authorize recurring billing for your selected plan. Fees are non-refundable except as required by law. We may suspend accounts for non-payment or violations.

6. Prohibited Conduct

  • Automated scraping or bulk email collection without consent.
  • High-volume sending beyond warmup limits.
  • Interfering with Service operations or other users.
  • Reverse engineering or unauthorized API use.

7. Data Ownership

You retain ownership of your email data and warmup results. We process data solely to provide Services, as detailed in our Privacy Policy.

8. Intellectual Property

All LeadNest trademarks, code, and designs are our property. You receive a limited license to use the Services during your subscription.

9. Service Availability

Services are provided "as is." We aim for 99.9% uptime but do not guarantee uninterrupted access. We may perform maintenance without notice.

10. Termination

You may cancel anytime via account settings. We may suspend or terminate for violations, with 7 days' notice for non-material breaches. Upon termination, access ends and unpaid fees remain due.

11. Limitation of Liability

We do not guarantee warmup success rates. Liability is limited to fees paid in the prior 3 months.

12. Governing Law

These Terms are governed by Cyprus law. Disputes will be resolved in Nicosia courts. EU users are protected under GDPR.

13. Changes to Terms

We may update these Terms with 30 days' notice via email or site posting. Continued use constitutes acceptance.
